Entity setup and Sunbiz
Starting something new? We'll pick the right structure in plain English, then keep Florida's paperwork on schedule.
What I help with
Choosing and electing
- LLC, S corp or C corp: which fits your numbers and your goals
- S corporation elections (Form 2553), and their timing
- Reasonable salary and payroll once you're an S corp
- The first-year business return
Keeping Florida current
- Registered agent service
- The Sunbiz annual report, filed for you every year
- Florida corporate income tax (F-1120) for C corporations
- Florida business tax registration for sales and employer taxes
The Sunbiz annual report
Every Florida LLC and corporation must file an annual report with the state by May 1, even when nothing changed. File late and the state adds a $400 penalty; leave it unfiled and the state can administratively dissolve the entity, which is a headache to reverse.
As your registered agent I file the report for you each year: $85 a year plus the $150 state fee.
Not sure which structure is right?
The plain-English guide to LLCs, S corps and C corps walks through liability, taxes, the S-corp election and when it actually pays off, with the Florida details that matter. The right answer depends on your numbers, so the next step is to run them together.
The legal formation of an LLC or corporation may also call for an attorney; I handle the tax side and the yearly filings. See the fee schedule for business returns.
